Terms of Business
All orders accepted by Kewdos Ltd are subject to these conditions:

BUYER CONDITIONS  
Where special conditions contained in the Buyer’s Order Forms are:

1. at variance with these conditions, Kewdos Ltd’s conditions shall prevail.
2. In addition to these conditions, the Buyer’s conditions shall not apply unless expressly agreed otherwise in writing by Kewdos Ltd in which event any such agreement shall apply on the particular order concerned, except where Kewdos Ltd agrees otherwise.
3. Signature on an order represents official placement of the order and acceptance of the terms and conditions for the order and subsequent orders for all similar goods.
   
PAYMENT  
1. Within 30 days from delivery.
2. Interest will run on overdue accounts at 2.5% per calendar month compound.
3. The minimum carriage paid order is £1,000.
4. All prices quoted are exclusive of  VAT.
 
   
PRICES  
All orders are accepted with the understanding that invoices will be rendered at the prices prevailing at the time of receipt. Prices are subject to change without notice and are based upon published price lists and will be accepted accordingly. Prices on all products are quoted carriage paid for all orders of £1,000 and over unless otherwise stated.
   
DAMAGE  
You must carefully inspect the goods on delivery and sign the delivery note to confirm that you have done so. In case of obvious damage or complaints at the time of delivery contact us at the office BEFORE the driver leaves or sign the delivery note and write "Goods Damaged - Delivery Refused" and inform Kewdos Ltd as soon as possible.

If it is not possible to inspect the content of the boxes, cartons or crates before the driver leaves you must sign the delivery note and write "unchecked".

It is the buyer's responsibility to sign for the correct number of packages as shown on the carrier's Delivery Consignment Note. Shortages must be noted on the Delivery Consignment Note. You must also notify Kewdos Ltd of the shortages within 5 working days of delivery.

No claims can be accepted after the five working day period as the supplier is not in control of the handling of the product or conditions under which the product is stored.

Damaged and return good must be in the original packing. Credit will not be given for good which are not in the original packing as they have not been protected from damage or further damage and cannot be resold.

It is the responsibility of the buyer to ensure the product is in good condition before selling or forwarding it to a third party.

The onus is on the buyer to ensure the goods are to standard prior to removal or dispatch from the purchase point by a third party.

Kewdos Ltd will not be held responsible for goods in transit to and from a third party.

All credit claims originating from a third party must have the prior approval of Kewdos Ltd and be accompanied by a sales receipt which was issued at the time of purchase from the point of purchase and a completed Kewdos Ltd claim form available on request. Photographic evidence may be required in support of the claim.
   
CANCELLATIONS  
Cancellations must be in writing and we reserve the right to refuse cancellation of an order if the goods are loaded or already delivered. Cancellation charges will apply if the good are loaded and delivery cannot be achieved.

Orders for container quantities of products , the equivalent of ten pallets or more or £5,000 or more, are irrevocable contracts with effect ten working days from the date of the order signed by the buyer or buyer’s representative.
   
RISK AND PROPERTY  
Goods supplied shall be at your risk immediately upon delivery. Property in the goods supplied under this order will pass to you when
1. you have paid in full for goods the subject of the order and
2. all other goods under any other of your orders with us which have been delivered on or before delivery of the goods under this order.
3. Any sales made by you before property passes will be made as our agents.
   
DELIVERY  
Orders which are sent out by common carrier will normally be delivered within 10 working days.

Times for delivery are estimates only and Kewdos Ltd will not be liable for the consequences of any delays however caused. The failure to meet the date on an order does not constitute sufficient reason for cancellation or refusal.
If payment under an order is not made within 30 days we reserve the right to refuse deliveries under this or any other order.
Deliveries under an order may be suspended if payments due under the previous orders have been outstanding for more than 30 days. Save that the goods will conform to description and sample (if any) every express or implied warranty or condition Statutory or otherwise is hereby excluded and we accept no liability for representations.

We will not accept liability for any claim whether arising from negligence, defects of design or manufacture, breach of copyright, patent or registered design, consequent damage or breach of Contract or from any other cause whatsoever.
   
CUSTOMER RIGHTS  
The Customers power of sale or right to use such Products shall immediately cease if an Administrative Receiver is appointed over all or any part of its assets or if it is adjudicated bankrupt or enter into liquidation whether compulsory or voluntary, or if the Customer makes an arrangement with its creditors, generally becomes unable to pay its debts within the meaning of the insolvency Act 1986.
On termination of the Customers power of sale or right to use the Products, the Customer will immediately hold the Products in the order of Kewdos Ltd.
   
PRODUCTS  
Kewdos Ltd takes great pride in the detail and colour nuances of our creations. Designs, carvings are constantly improved and refined to achieve quality and appeal and many finishes are applied by hand. Therefore, actual colours and products may vary slightly from their representation as depicted in our catalogue, which is for illustrative purposes only and shall not be deemed to create an express warranty that the whole of the goods shall conform to the representation. Conformity of these goods to the representation is not part of the basis of the bargain between seller and buyer. Kewdos Ltd reserves the right to make such modifications and variances, while assuring you that such will be minor, and well within the reasonable limits of artistic licence, and that the original basic appearance and integrity of every Kewdos product will remain as close as possible to its catalogue depiction.

Kewdos Ltd shall not be liable for any delay in or failure to perform its obligation (other than payment of money) where such delay in failure results from force majeure or any other cause beyond its reasonable control.
